Development company Earlplace has bought the former Abbacourt Hotel on Kenilworth Road in Leamington Spa.
It now intends to submit a planning application to create a 53-bedroom home which would provide round the clock care for elderly residents.
Lawrence Grove, chairman of Earlplace, said the new £7m centre would meet a need in the surrounding community.
The site has an existing permission for apartments but Earlplace, which was one of the companies behind the successful conversion and restoration of the former Clarendon Hotel on Parade, will apply for new consent.
Earlplace was not represented by agents in the acquisition but Wragge and Co carried out the legal due diligence and the construction finance will be coming from Kaupthing Singer and Friedlander, all based in Birmingham.
